Terms and Conditions of Sale

1. Preamble

These Terms and Conditions of Sale (hereinafter referred to as the "Terms") govern the commercial relationship between:

SOUNKE LOGISTICS SARL, operating under the commercial brand SLS GLOBAL

(hereinafter referred to as "SLS GLOBAL" or the "Seller")

and any individual or legal entity (hereinafter referred to as the "Customer") wishing to purchase products or services offered by SLS GLOBAL through the website https://sounkeglobal.com (hereinafter referred to as the "Website") or through any other communication channel (email, phone, WhatsApp, or business meeting).

By placing an order or requesting a quotation, the Customer unconditionally accepts these Terms and acknowledges having read them beforehand.

2. Scope of Application

These Terms apply to all products and services provided by SLS GLOBAL, organized into four main business divisions:

  • International B2B: Wholesale supply of African agricultural, food, and handcrafted products to importers, wholesalers, distributors, and manufacturers.

  • B2C Diaspora (SLS Market): Retail sale of authentic African products to individuals and the African diaspora (service coming soon — see Article 3.3).

  • International Sourcing: Assistance in identifying products, suppliers, and business partners abroad.

  • Logistics & Transportation: Freight forwarding, customs clearance, transportation, and warehousing services.

Specific contractual terms may supplement these Terms depending on the nature of the order or service, particularly within the framework of a separate commercial agreement signed by both parties.

3. Products and Services

3.1 International B2B Wholesale

SLS GLOBAL supplies African agricultural, food, and handcrafted products (including cocoa, coffee, spices, food crops, processed products, handicrafts, etc.) displayed on the Website for informational purposes.

Product specifications such as origin, packaging, minimum order quantity, and quality standards are confirmed in the quotation issued to the Customer.

Images and descriptions displayed on the Website are non-contractual and may vary depending on harvests, production batches, or supplier availability.

3.2 International Sourcing

SLS GLOBAL provides sourcing services to identify products, manufacturers, suppliers, and commercial partners worldwide, particularly in China, Dubai, Turkey, Europe, and the Americas.

This service is subject to a separate quotation specifying the scope of work, deadlines, and applicable service fees.

3.3 B2C Retail Sales (SLS Market)

The SLS Market online store, dedicated to retail sales for individuals and the African diaspora, will be launched soon.

Upon launch, these Terms will be supplemented by additional provisions specific to online consumer sales, including withdrawal rights, online payment procedures, and statutory consumer guarantees.

3.4 Logistics and Transportation

SLS GLOBAL provides sea freight, air freight, customs brokerage, transit, and warehousing services.

Each logistics service is subject to a specific quotation based on the nature, volume, origin, destination, and handling requirements of the goods.

4. Quotations and Orders

Every sale or service begins with a request submitted to SLS GLOBAL through the Website, by email, phone, or WhatsApp.

Based on this request, SLS GLOBAL issues a detailed quotation specifying:

  • Products or services requested.

  • Quantity and specifications.

  • Price.

  • Delivery or execution conditions.

  • Estimated deadlines.

  • Payment terms.

An order becomes final and binding only after:

  • The Customer's written acceptance of the quotation (email, signature, or any mutually agreed written confirmation); and

  • Payment of the required deposit, when applicable.

SLS GLOBAL reserves the right to refuse any order from a Customer involved in a previous payment dispute or when requested products or services are unavailable.

5. Prices

Prices are quoted in Central African CFA Francs (XAF) or in another currency agreed upon with the Customer (including USD or EUR for international transactions).

Unless otherwise specified, prices exclude taxes and additional costs.

Quoted prices may include considerations related to:

  • Ordered quantities.

  • Export conditions.

  • Transportation.

  • Insurance.

  • Customs clearance.

  • Market fluctuations affecting raw material costs.

The applicable price is the one stated in the quotation accepted by the Customer.

Any significant modification to the order (quantity, specifications, deadlines, or destination) may result in a revised quotation communicated before execution.

6. Payment Terms

Payment terms (deposit, balance payment, or payment schedule) are specified in each quotation and may vary according to the order value, nature of the transaction, and commercial relationship with the Customer.

Unless otherwise agreed, payments must be made by bank transfer to the following account or through another payment method specified in the quotation (international transfer, Mobile Money, etc.).

Unless otherwise agreed, no B2B order will proceed to purchasing, production, or shipment until the agreed deposit has been received.

Late payment may result, after formal notice remains unsuccessful, in the suspension of current and future orders, without prejudice to any other legal remedies available to SLS GLOBAL.

7. Delivery and Transportation

Delivery times communicated by SLS GLOBAL are provided for informational purposes only.

They depend on factors including:

  • Product availability.

  • Selected mode of transportation.

  • Customs procedures.

  • Destination-specific logistics conditions.

Unless otherwise stated in the quotation, delivery terms and applicable Incoterms (EXW, FOB, CIF, DDP, etc.) are specified in the quotation or commercial contract.

Transfer of risk occurs according to the agreed Incoterm.

SLS GLOBAL shall not be held liable for delays caused by circumstances beyond its reasonable control, including customs procedures, strikes, adverse weather conditions, port or airport congestion, or force majeure events.

8. Quality Control and Claims

SLS GLOBAL undertakes reasonable efforts to ensure that delivered products comply with agreed specifications regarding quality, quantity, and packaging.

Any claim concerning an apparent non-conformity (quantity, quality, or packaging) must be submitted in writing within 7 business days after receipt of the goods.

Claims must include supporting evidence such as photographs, inspection reports, or any relevant documentation.

After this period, goods shall be deemed accepted and compliant, except in the case of proven hidden defects.

9. Order Cancellation and Modification

Any request to cancel or modify a confirmed order must be submitted in writing as soon as possible.

Depending on the execution stage of the order (supplier purchases already completed, transportation booked, or goods already in transit), SLS GLOBAL reserves the right to refuse cancellation or invoice costs already incurred, supported by appropriate documentation.

10. Liability

SLS GLOBAL undertakes to perform its services with due care and in accordance with professional standards applicable to its industry.

SLS GLOBAL shall not be liable for:

  • Force majeure events or actions of third parties beyond its control.

  • Incorrect or incomplete information provided by the Customer.

  • Delays or incidents related to customs authorities, carriers, ports, or airports.

  • Improper use of products outside their intended purpose.

In any event, SLS GLOBAL's liability shall be limited to the amount of the relevant order.

11. Force Majeure

SLS GLOBAL shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to:

  • Natural disasters.

  • Epidemics or pandemics.

  • Strikes or labor disputes.

  • Riots or civil unrest.

  • Armed conflicts.

  • Government decisions.

  • Customs or export restrictions.

  • Any unforeseeable and unavoidable event beyond the reasonable control of the parties.

12. Retention of Title

All goods sold remain the property of SLS GLOBAL until full payment of the agreed purchase price has been received.

However, the transfer of ownership does not affect the transfer of risk, which occurs according to the applicable Incoterm specified in the quotation.

13. Confidentiality

Both parties agree to keep confidential all commercial, technical, financial, and business information exchanged during their commercial relationship, except where disclosure is required by law or expressly authorized in writing by the other party.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Cameroon.

In the event of a dispute, the parties shall first seek an amicable settlement.

Failing an amicable resolution within a reasonable period, the dispute shall be submitted to the competent courts of Douala, Cameroon, unless mandatory legal provisions or a written arbitration agreement provide otherwise.

15. Amendments to the Terms

SLS GLOBAL reserves the right to amend these Terms at any time.

The Terms applicable to an order are those in force on the date the corresponding quotation is accepted by the Customer.
